Terms of Service & Digital Certificate Agreement

These Terms of Service (“Terms”) constitute a binding agreement between you (“User,” “you,” or “your”) and the operator of the website through which you make your purchase (collectively, “we,” “us,” or “our”). By checking the box labeled “I have read and agree to the Terms of Service” and proceeding to checkout, or by using the website (the “Site”), you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, do not proceed to purchase.

1. THE PRODUCT YOU ARE PURCHASING: A DIGITAL IMAGE FILE

1.1 Nature of the Product.
When you select a vehicle image and a quantity on the Site and proceed to checkout, the product you are purchasing is a set of digital image files (in PNG, JPEG, and/or PDF format, as specified at checkout) depicting the selected vehicle. Each file in the set bears a unique sequential identifier (e.g., “Certificate #04217”). These files are collectively referred to as your “Digital Certificates” or simply “Certificates.”

1.2 What You Are NOT Purchasing.
For the avoidance of all doubt:
(a) You are not purchasing a vehicle, an interest in a vehicle, a title to a vehicle, a right to a vehicle, or any physical object.
(b) You are not purchasing a lottery ticket, raffle ticket, sweepstakes entry, gambling wager, or any instrument of chance.
(c) You are not purchasing a guarantee, entitlement, or promise of receipt of any vehicle, prize, cash payout, or consideration of any kind.
(d) You are not purchasing a membership, subscription, or access pass to the Site.
(e) The term “ticket” or similar language that may appear on the Site or in marketing materials is a branding and thematic descriptor only. It does not constitute a ticket to an event, a ticket to a vehicle, or a negotiable instrument.

1.3 Product Description.
Your Digital Certificates are original digital art/graphics. They depict a vehicle (rendered, photographed, or illustrated) along with design elements including sequential certificate numbers, branding, and a verification identifier (e.g., QR code). The Digital Certificates are delivered electronically (via email link or download) within a short time after completed payment. They are not physical objects. They have no intrinsic material value beyond the digital file itself.

1.4 No Implied Vehicle Ownership.
The presence of a vehicle image in your Digital Certificate does not create, imply, suggest, or constitute any ownership interest, lien, claim, or expectation of receipt with respect to the depicted vehicle or any similar vehicle. The image is a depiction only, not a title, not a bill of sale, not a warranty of delivery, and not a contract for the sale of goods with respect to any vehicle.

2. POSSIBLE FUTURE OPPORTUNITIES (NON-BINDING)

From time to time, holders of valid Digital Certificates may be considered for inclusion in future opportunities related to vehicles. Any such opportunity, if it occurs at all, is entirely discretionary, is not guaranteed, is not linked to any random selection, draw, lottery, raffle, or game of chance, and creates no enforceable right, entitlement, or expectation on your part. Nothing in these Terms or on the Site constitutes a promise that any purchaser will receive a vehicle or any other physical item at any point in the future.

3. DIGITAL CERTIFICATE LICENSE

3.1 Grant of License.
Subject to these Terms and your completion of payment, you are granted a non-exclusive, non-transferable, non-sublicensable, revocable, perpetual license to:
(a) View, display, and download your Digital Certificates on your personal devices;
(b) Print your Digital Certificates for personal, non-commercial use (e.g., framing or home display);
(c) Use the verification identifier to confirm authenticity via any verification page provided.

3.2 Restrictions.
You may not:
(a) Sell, resell, license, distribute, or commercially exploit your Digital Certificates or any portion thereof;
(b) Remove, alter, or obscure any watermark, branding, sequential number, or verification identifier;
(c) Use the Certificates in any advertisement, marketing material, or commercial content without prior written consent;
(d) Use the Certificates to create a false impression of vehicle ownership, a fraudulent claim, or a misleading representation to any third party;
(e) Reverse-engineer, scrape, or systematically copy the Certificate design, layout, or verification system.

3.3 No Transferable Asset.
Your Digital Certificates are not securities, financial instruments, NFTs, tokens, or assets of any kind. They have no resale value, no secondary market, and no claim against us beyond the limited license granted above. If you transfer your email account or device, the associated Certificates may be invalidated at our discretion.

3.4 Revocation.
The license may be revoked if you breach these Terms, if the associated purchase is reversed, refunded, or determined to be fraudulent.

4. NO GUARANTEES; “AS IS”

4.1 Digital Certificates Provided “As Is.”
The Digital Certificates are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. There is no warranty that the depicted vehicle matches any real vehicle in condition, specification, mileage, or physical state, nor any warranty of accuracy regarding MSRP, market value, or condition.

4.2 No Guarantee of Any Future Opportunity or Outcome.
Nothing in these Terms, on the Site, in any advertisement, or in any communication constitutes a guarantee, promise, or representation that you will receive, or be entitled to, any vehicle, cash, or other consideration at any time. Your purchase of Digital Certificates does not entitle you to any outcome or future opportunity.

4.3 No Implied Right to a Specific Vehicle.
Any vehicle imagery is for illustrative and design purposes only. No specific physical vehicle is promised or reserved.

5. PAYMENT, REFUNDS, AND THE TRANSACTION

5.1 Payment Processing.
Payment for Digital Certificates is processed through the payment provider shown at checkout. The transaction is solely for the purchase of digital image files. No separate fee is charged for any future opportunity.

5.2 No Refunds Except as Required by Law.
Digital Certificates are digital goods delivered immediately upon purchase. Once your Certificates are issued (sequential numbers assigned and files generated), the purchase is final and non-refundable. No exceptions will be made for change of mind, dissatisfaction with the image, or any other reason. A refund will be issued only if: (a) the purchase was not completed; (b) the Digital Certificate files are not delivered within the stated window due to our failure (and not due to your email or technical error); or (c) required by applicable consumer protection law.

5.3 No Chargeback Rights Based on Dissatisfaction.
Initiating a chargeback, payment dispute, or “unauthorized transaction” claim solely on the basis of dissatisfaction with the digital product or any future opportunity (or lack thereof) constitutes a breach of these Terms and may result in revocation of your Certificates and further action.

5.4 Taxes.
You are responsible for all applicable taxes (including VAT or other levies) arising from your purchase, as determined by the payment processor and applicable law. The price displayed at checkout is inclusive of any applicable taxes where required.

6. INTELLECTUAL PROPERTY

6.1 Our IP.
We retain all right, title, and interest in and to the Site, branding, Digital Certificate design, template, layout, logos, trademarks, vehicle renders/photographs used in the Certificates, and all associated content.

6.2 Vehicle Brand IP.
The Digital Certificates depict vehicles that are the intellectual property and registered trademarks of their respective manufacturers. We do not represent, affiliate with, endorse, or sponsor any vehicle manufacturer. Use of vehicle images is for descriptive and design purposes only and does not imply endorsement, partnership, or authorization by the manufacturer. All vehicle names, designs, and trademarks remain the property of their respective owners.

6.3 Your Information.
By using the Site you grant a non-exclusive, royalty-free license to use your name and location (city/region only) in connection with any public announcements or marketing materials, unless you opt out in writing within a reasonable time after any such announcement.

7. OUR RIGHTS AND RESERVATIONS

7.1 Modification of Terms.
These Terms may be modified at any time by posting the updated version on the Site with a revised Effective Date. Continued use of the Site or purchase of Digital Certificates after the effective date of modified Terms constitutes acceptance.

7.2 Suspension and Termination.
Access to the Site may be suspended or terminated, and Certificates revoked, if you:
(a) Breach these Terms;
(b) Engage in fraudulent, deceptive, or abusive conduct;
(c) Use automated tools, bots, or scripts to purchase Certificates or access the Site;
(d) Purchase Certificates using fraudulent, stolen, or invalid payment information;
(e) Violate any applicable law or regulation.

7.3 Force Majeure.
We shall not be liable for any failure or delay in performance caused by events beyond reasonable control, including natural disasters, pandemics, government actions, war, terrorism, civil unrest, infrastructure failure, or payment processor outage.

8. USER RESPONSIBILITIES AND REPRESENTATIONS

By purchasing Digital Certificates you represent and warrant that:
(a) You are at least 18 years of age;
(b) You have the legal capacity to enter into a binding contract;
(c) You are providing accurate and complete information;
(d) You are not prohibited from purchasing under the laws of your jurisdiction;
(e) You understand that the Digital Certificates are digital image files only and not a ticket to, interest in, or claim on any physical vehicle;
(f) You understand that no future vehicle or other consideration is guaranteed;
(g) You will comply with all applicable local, national, and international laws in your use of the Site;
(h) You are responsible for monitoring your email for any communications. We are not liable if your email is undeliverable, marked as spam, or if you fail to update your contact information.

9. PRIVACY AND DATA

Your purchase information (name, email, IP address, payment details) is processed in accordance with the Privacy Policy available on the Site. Payment data is processed by the payment provider shown at checkout and is not stored on our servers beyond what is necessary.
You consent to the inclusion of your name and location (city/region) in any public announcements, unless you opt out in writing within a reasonable time.

10. LIMITATION OF LIABILITY

10.1 To the maximum extent permitted by applicable law, in no event shall we, our officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, emotional distress, disappointment, lost opportunity, loss of use of funds spent on Digital Certificates, or damage to reputation or property, arising from or in connection with: (a) your purchase of Digital Certificates; (b) any future opportunity (or lack thereof); (c) the condition or availability of any vehicle; or (d) your use of or inability to use the Site.

10.2 Our total aggregate liability for all claims arising out of or relating to these Terms or your purchase shall not exceed the total amount you paid for the applicable Digital Certificate purchase.

10.3 This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise) and regardless of whether we have been advised of the possibility of such damages. This limitation does not apply to liability that cannot be limited under applicable law (e.g., gross negligence, willful misconduct, or fraud).

10.4 You acknowledge that any risk associated with the absence of a future opportunity is entirely yours. Your purchase of Digital Certificates does not create an obligation to compensate you for the value of the Certificates, the value of any vehicle, or any other amount.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless us, our officers, directors, employees, agents, and affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
(a) Your breach of these Terms;
(b) Your use or misuse of the Site or Digital Certificates;
(c) Your misrepresentation of your identity, age, or location;
(d) Any claim by a third party that your Digital Certificates infringe their rights;
(e) Any claim, dispute, or legal action arising from any vehicle you may later receive (including operation, registration, insurance, and compliance with traffic and vehicle laws).

12. DISPUTE RESOLUTION

12.1 Informal Resolution.
Before initiating any formal dispute, you agree to contact us via the contact method provided on the Site and allow a reasonable period for an attempt to resolve the matter informally.

12.2 Governing Law and Venue.
These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict-of-laws principles. Any dispute that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of Sweden.

12.3 Class Action Waiver.
To the fullest extent permitted by applicable law, you agree that claims against each other may be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative action.

13. GENERAL PROVISIONS

13.1 Entire Agreement.
These Terms, together with the Privacy Policy and any product-specific information posted on the Site, constitute the entire agreement between you and us regarding your purchase. They supersede all prior or contemporaneous agreements, representations, or understandings.

13.2 No Waiver.
Failure to enforce any provision shall not constitute a waiver of that provision or any other provision.

13.3 Severability.
If any provision is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

13.4 Assignment.
You may not assign or transfer these Terms or any rights or obligations hereunder without prior written consent. We may assign these Terms in connection with a sale of assets, merger, or similar transaction.

13.5 Notices.
Notices under these Terms may be delivered by email to the address on file with your purchase or by other reasonable means.

13.6 Headings and Interpretation.
Headings are for convenience only and do not affect interpretation. The singular includes the plural and vice versa. “Including” means “including without limitation.”

13.7 Electronic Form.
These Terms may be accepted in electronic form. An electronic copy is as valid as an original.

14. SPECIFIC ACKNOWLEDGMENTS

By checking the box and proceeding to purchase, you specifically acknowledge and agree that:
(a) You are purchasing a digital image file (a set of digital certificate graphics depicting a vehicle). You are not purchasing a vehicle, a title to a vehicle, a right to a vehicle, or any physical item.
(b) No future vehicle or other consideration is guaranteed. Any possible future opportunity is entirely discretionary and creates no enforceable right.
(c) The term “ticket” or similar language on the Site is a thematic descriptor only. It does not constitute a ticket to a vehicle, a lottery ticket, a raffle ticket, or any gambling instrument.
(d) The vehicle depicted in your Digital Certificate is a branding and design element only. The image does not represent a specific physical unit, a commitment to deliver a specific physical unit, or a warranty that the depicted vehicle matches any real vehicle.
(e) Your purchase is final and non-refundable upon issuance of your Digital Certificates.
(f) You have read, understood, and voluntarily agreed to all terms, conditions, limitations of liability, and disclaimers contained in these Terms.
